Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and DotMD LLC (“DotMD”, “we”, “us”). By creating an account, buying a plan, or using DotMD, you agree to them.

1. About these Terms

These Terms are a binding agreement between you and DotMD LLC (“DotMD”, “we”, “us”), the company that operates the DotMD apps, websites, and APIs at dotmd.co and app.dotmd.co (the “Service”). By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm you are authorised to bind it, and “you” means that organisation.

If you do not agree to these Terms, do not use the Service. Our Privacy Policy explains how we handle your data and forms part of these Terms by reference.

2. Eligibility and your account

You must be at least 16 years old (or the age of digital consent where you live) to use the Service. You are responsible for everything that happens under your account and for keeping your password and any API keys secure. Tell us promptly if you suspect unauthorised use of your account.

You must give accurate account information and keep it current. You may not use someone else’s account, or let someone else use yours, without permission.

3. Plans, service limits and fair use

The Service is offered on the Free, Premium, and Team plans described on our pricing page. Where a plan is described as offering an “unlimited” amount of something, that means there is no fixed numerical cap — but it is still subject to the technical limits and the fair-use rules in this section. “Unlimited” never means you may use the Service in a way that is abusive, automated beyond normal interactive use, or designed to degrade the Service for others.

Free plan limits

  • Up to 5 documents that you own (documents shared with you do not count toward this).
  • 1 collaborator per document, unless a participant on that document is on a paid plan.
  • The most recent 10 saved versions of each document.
  • AI writing, image upload, and GitHub sync are not included on the Free plan.

Premium and Team plans

  • No fixed limit on the number of documents or folders you create, subject to a fair-use ceiling of 5,000 documents per account (see “Fair use” below).
  • No fixed limit on collaborators per document, subject to a maximum of 100 members per shared namespace.
  • Version history is retained while your plan is active, subject to fair use below.
  • Included DotMD AI: up to 250,000 tokens per user per month, at up to 20 AI requests per minute. This monthly allowance is NOT unlimited. To lift the monthly token allowance, connect your own provider key (Bring Your Own Key); your usage is then governed by your provider’s limits instead, though our per-minute rate limits still apply.
  • Team plans are licensed per seat, from 2 to 100 seats per subscription.

Technical limits that apply to every plan

  • Up to 500 MB per uploaded file overall; specific upload types may carry tighter limits (images up to 10 MB, Markdown imports up to 2 MB) and document bodies up to 1 MB.
  • Up to 1 MB per document imported from a URL.
  • Up to 100 namespaces per user and 100 members per namespace.
  • API and integration (MCP) access: up to 100 requests per minute and 20,000 calls per calendar month per API key. These are fair-use quotas sized for the plan price; contact us if you need more.

Concurrent sessions and open documents (anti-abuse)

To prevent account sharing and protect the Service, each account may have up to 5 active sign-ins (devices) at a time, and a given document may be open in at most 2 places at once per account. Exceeding either limit disconnects the oldest session or open copy — nothing is deleted. These are anti-abuse measures, not usage meters, and we may adjust them to keep the Service stable and secure.

Fair use

DotMD is for interactive document creation and collaboration. It is not a bulk file host, content-delivery network, backup service, or a place to store material unrelated to your own documents. We may set, change, or enforce reasonable limits — including on storage, request rate, document count (including the 5,000-document ceiling above), or version retention — where usage is materially inconsistent with normal individual or team use, threatens the stability or security of the Service, or appears designed to circumvent plan limits. Where practical, we will contact you before acting.

We may change our plans, features, and limits over time. If a change materially reduces a paid feature you rely on, we will give reasonable notice as described in section 12.

4. Subscriptions, billing and renewals

Paid plans are billed in advance through our payment processor, Stripe. Premium is US$5 per user per month or US$60 per user per year; Team is US$5 per seat per month or US$60 per seat per year (minimum 2 seats). Annual billing is a single yearly payment offered for convenience and is not discounted.

Paid plans renew automatically at the end of each billing period at the then-current price, using your saved payment method, until you cancel. By subscribing, you authorise these recurring charges.

You can cancel at any time from your billing settings, which open Stripe’s secure customer portal. Cancellation takes effect at the end of the current paid period; your plan stays active until then and then returns to Free. We do not offer free trials unless we say so explicitly.

Prices are shown exclusive of taxes. You are responsible for any sales tax, VAT, or similar taxes that apply, which may be added at checkout or invoiced separately. If a renewal payment fails, your account moves to the Free plan until payment is restored, and documents over the Free limits become read-only — nothing is deleted.

5. Cancellations and refunds

Except where the law requires otherwise, payments are non-refundable and we do not give refunds or credits for partial billing periods or unused time. When you cancel, you keep paid access until the end of the period you have already paid for.

If a charge is fully refunded or a chargeback is upheld, the related paid access is removed. Nothing in these Terms limits any non-waivable refund or cancellation rights you have under the consumer law of your country.

6. Team and seat licences

A Team subscription is a single licence covering 2 to 100 seats. The buyer (administrator) manages seats and may assign or reassign them to people by email. Someone who claims a seat gets Premium access for as long as the seat stays assigned to them and the Team subscription is active. When a seat is removed or the subscription ends, that Premium access ends and the account returns to Free.

Administrators are responsible for who they invite and for having permission to add those people. Seat-based access is managed by the Team administrator, not through the individual’s own billing.

7. Your content

You own the documents and other content you create on DotMD (“Your Content”). We do not claim ownership of it. DotMD stores Your Content as Markdown that you can export at any time.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, sync, back up, and display Your Content — but only as needed to operate, secure, and provide the Service to you and the collaborators you choose. This licence ends when you delete the content or your account, except for residual backups purged on the schedule in our Privacy Policy. You are responsible for Your Content and confirm you have the rights to it.

If you make a document public or share it by link, you authorise us to display it to anyone who has access to that link or page.

8. Acceptable use

You agree not to use DotMD to:

  • break the law or infringe anyone’s intellectual-property, privacy, or other rights;
  • store or share malware, illegal content, or content that unlawfully harasses others or sexually exploits minors;
  • send spam, phish, or harvest other people’s data without consent;
  • attempt to gain unauthorised access to the Service or to other users’ accounts or content;
  • probe, scan, overload, or disrupt the Service, or bypass its limits, rate limits, or security;
  • resell, sublicense, or commercially exploit the Service except as expressly permitted; or
  • use the Service as a general-purpose file store, CDN, or backup system unrelated to your documents.

We may remove content or suspend accounts that breach this section. You are responsible for content created by people you invite.

9. AI features and Bring Your Own Key

DotMD offers AI-assisted writing and conversion in two ways. With included DotMD AI (Premium), requests are processed using our platform model provider (currently Anthropic) up to the monthly token allowance in section 3. With Bring Your Own Key (BYOK), your prompts go directly to the provider you configure — such as OpenAI, Anthropic, Google Gemini, or a compatible endpoint — using your own API key.

Only the text you select, a bounded amount of surrounding context, and your instruction are sent to the model. We do not use the content of your prompts or documents to train our own models, and DotMD does not store your provider API key in plaintext. AI output can be inaccurate; you are responsible for reviewing it before relying on it.

When you use BYOK or any third-party model, that provider’s own terms and privacy practices govern the data you send it. We are not responsible for a provider’s output, availability, charges, or data practices. AI features are subject to rate limits and may change or be unavailable from time to time.

10. Third-party services

The Service relies on third parties to function, including Amazon Web Services (hosting and storage) and Stripe (payments), and — where you connect them — GitHub (document sync), Google (sign-in), and AI model providers. Your use of those integrations may also be subject to the third party’s terms. We are not responsible for third-party services. The sub-processors that handle your data are listed on our Sub-processors page, and our data practices are described in our Privacy Policy.

11. Our intellectual property

The Service itself — DotMD’s software, design, branding, and documentation, but not Your Content — belongs to DotMD LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as the law allows. “DotMD” and our logos are our trademarks; please do not use them without permission.

12. Service availability and changes

We work to keep DotMD available and reliable, but the Service is provided on an “as available” basis and we do not guarantee any specific uptime or service level unless separately agreed in writing. We may add, change, suspend, or discontinue features, and we may perform maintenance that temporarily interrupts the Service. We will try to give notice of material changes that affect paid plans.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that it will meet your requirements, or that AI output will be accurate. Please keep your own copies of important content — you can export it at any time.

14. Limitation of liability

To the fullest extent permitted by law, DotMD LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.

Our total liability for all claims relating to the Service in any 12-month period will not exceed the greater of (a) the amount you paid us for the Service in that period, or (b) US$50. Some places do not allow certain limitations, so parts of this may not apply to you; nothing here limits liability that cannot be limited by law.

15. Indemnification

You agree to indemnify and hold DotMD LLC harmless from claims, damages, and reasonable costs (including legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or of someone else’s rights — except to the extent the claim arises from our own breach or negligence.

16. Suspension and termination

You may stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access if you materially breach these Terms, if the law requires it, or to protect the Service or other users; where reasonable we will give notice and a chance to fix the problem first. On termination, your right to use the Service ends and we delete your content as described in our Privacy Policy. Sections that by their nature should survive — for example content ownership, disclaimers, liability limits, and indemnification — survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules, and you and we agree to the exclusive jurisdiction of the state and federal courts located in Washington, except where mandatory local consumer law gives you other rights. Before bringing a formal claim, please contact us so we can try to resolve it informally first.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you in-app or by email before they take effect, and the “Last updated” date above will change. Continuing to use the Service after the changes take effect means you accept the updated Terms. Questions about these Terms? Contact us at
